 ARTICLE I: CHAPTER NAME 

Section 1. The name of the organization shall be the College of Computer, Mathematical and Natural Sciences (CMNS) Alumni Chapter (hereinafter called the Chapter) of the University of Maryland Alumni Association, Inc., (hereinafter called the Association) and shall be considered a Chapter as stated in the policy of accreditation adopted by the Board of Governors of the University of Maryland Alumni Association on May 1, 1993. 

Section 2. The Chapter shall be a nonprofit organization consisting of its general membership. The Chapter is a chartered organization of the Association and works in partnership with the University, College and Association to advance alumni relations and carry on activities consistent with the Association’s 501 ( c ) (3) status. 

ARTICLE II: MISSION STATEMENT 

Section 1. The mission of the Chapter is to promote and support the college, encourage academic and professional excellence, facilitate career development for both current students and graduates, while fostering and strengthening a lasting relationship between the college and its alumni.  The Chapter is guided by the vision and leadership of the College Dean and the Assistant Dean for Alumni Relations.   

Section 2. The purpose of the Chapter shall be: 

  • To develop and implement plans to improve the involvement of alumni and friends in the life and mission of the College,
  • To serve as liaison to academic departments,
  • To advance alumni related activities,
  • To provide student awards and scholarships,
  • To perform such other duties as specified by the Chapter Officers and these bylaws.

ARTICLE III: CHAPTER LOCATION 

Section 1. The principal office of the Chapter shall be the College of Computer, Mathematical and Natural Sciences Office of the Dean, University of Maryland, 2300 Symons Hall, College Park, MD20742.

ARTICLE IV: MEMBERSHIP 

Section 1. Membership in the University of Maryland Alumni Association, Inc. as prescribed by the Alumni Association Board of Governors, is a prerequisite to membership in the College of Computer, Mathematical and Natural Sciences Alumni Chapter. There will be no additional membership dues charged by the Chapter. Each College of Computer, Mathematical and Natural Sciences alumna(us) member of the Alumni Association is automatically enrolled as a member in the College of Computer, Mathematical and Natural Sciences Alumni Chapter.  

Section 2. Chapter membership: 

  • Helps support students through the Maryland Alumni Association Scholarship program,
  • Grants automatic access to the TerpNation Network, online Maryland social community,
  • Grants access to the UniversityCareerCenter’s Alumni resources,
  • Is 100% tax-deductable. 

Section 3. College of Computer, Mathematical and Natural Sciences Departments. 

  • Department of Astronomy
  • Department of Atmospheric and Oceanic Science (formerly Meteorology)
  • Department of Biology (formerly Zoology)
  • Department of Cell Biology and Molecular Genetics (formerly Microbiology)
  • Department of Chemistry and Biochemistry
  • Department of Computer Science
  • Department of Entomology
  • Department of Geology
  • Department of Mathematics
  • Department of Physics 

ARTICLE V: FINANCES 

Section 1. The Chapter fiscal year for the purpose of maintaining financial records and an annual audit shall be the same as that of the Association, the twelve-month period from July 1 - June 30. 

Section 2. A copy of all financial accounts and records of the Chapter shall be submitted to the officers and members of the Chapter by the Treasurer monthly, with the original sent to the Association at the Chapter’s request for the semi-annual allotment of funds. Required forms will be completed and submitted to the Internal Revenue Service as required by 501 ( c  ) (3) nonprofit organizations. 

Section 3. Funds for the maintenance and operation of the affairs of the Chapter shall be derived from: 

  • A share of the dues paid by members to the University of Maryland Alumni Association, Inc. as determined by the Association.
  • Voluntary contributions from alumni and friends.
  • Voluntary contributions from the University of Maryland Alumni Association, Inc. itself or from any fund organization affiliated with the Chapter.
  • Such other sources as may be approved by the Board of Directors.

ARTICLE VI: BOARD OF DIRECTORS 

Section 1. Board of Directors. The management of the Chapter shall be the responsibility of the Board of Directors.  

  1. The Board shall consist of at least four (4) members, who will serve as the Chapter's Officers, but may also consist of other Board members called the Executive Board members.
  2. A department representative may concurrently serve as a member of the Board of Directors. Departmental representatives should represent the views of their departments as they pertain to alumni relations and should also bring the views of the Chapter to the individual departments.
  3. The Board shall provide general supervision of the affairs of the Chapter including its meetings, schedule of activities, and budget.
  4. The Board shall review and approve proposals and disbursement of Chapter funds in accordance with the Chapter mission and guidelines of the Association.  

Section 2. Officers. The Officers shall be selected from current or past members of the Executive Board. 

President: 

  1. Serves as the Chair of the Chapter Board of Directors. In the absence of the President, the Vice President will act in this capacity, if he/she is available, and if not, the Treasurer will act in this capacity, if he/she is available, and if not, the Secretary will act in this capacity.
  2. Calls and presides over all Chapter meetings and is responsible for the agenda of those meetings.
  3. Represents the Chapter in University and community affairs.
  4. Works directly with the Assistant Dean for Development and Alumni Relations for the benefit of achieving the College’s alumni objectives.
  5. Will serve as a representative of the Chapter to the Board of Visitors (BOV) of the College, although these duties may be shared with other members of the Board of Directors. 

Vice President: 

  1. Assumes all duties of the President in the absence of, or at the direction of the President.
  2. Will share in the duties of the President and help represent the Chapter in University and community affairs.
  3. Will serve as a representative of the Chapter to the University of Maryland Board of Governors (BOG) of the Association, although these duties may be shared with other members of the Board of Directors. 

Treasurer: 

  1. Submits a budget to the Chapter Board of Directors for the fiscal year (July 1 -  June 30).
  2. Makes all deposits and disbursements as authorized by the Chapter Board of Directors.
  3. Maintains the financial records for the annual report.
  4. Submits all financial records to the Association at least semi-annually as part of the financial allotment request. 

Secretary: 

  1. Records the proceedings of all meetings.
  2. Prepares and distributes minutes to all board members.
  3. Maintains a file of all committee reports. 

Section 3. Terms of Office/Officer Succession. 

  1. Officers serve for two year (2 year) terms and must first serve in the position of Secretary.
  2. Every two years (2 years) each Chapter officer moves into the next successive officer position, so the Secretary becomes the Treasurer, the Treasurer becomes the Vice President, the Vice President becomes President, and the President becomes the Outgoing President and President Emeritus.
  3. The current Board of Directors submits nominations for new Officers.
  4. New Officers may only be selected from the members of the Executive Board.
  5. Executive Board members must serve at least one year (1 year) on the Executive Board prior to being nominated as an Officer.
  6. At least 10 CMNS Chapter members in attendance at a regular or special meeting, which must include at least one Chapter officer, and must be sanctioned by the Chapter Board of Directors to represent a member quorum.
  7. New Officers are voted into office based upon the majority of votes cast at the Officer Selection Meeting, which must be announced at least 14 days before the meeting is to take place.  

Section 4. The Executive Board 

  1. New members of the Executive Board are to be selected by the Board of Directors by voting in a Chapter meeting
  2. All members of the Chapter who volunteer to become members of the Executive Board may be selected as new members of the Executive Board by the Board of Directors.
  3. Members of the Executive Board have no term limits and serve at the pleasure of the Executive Board.  

Section 5. Term of Board Membership. 

  1. The term of each member of the Board of Directors and each officer shall commence on July 1 or the date the votes cast.  

Section 6. Termination of Board Membership. 

  1. Any Officer may submit a letter of resignation to the Board of Directors to resign from an Officer position. In case of a resignation, the appropriate action is to be taken by the Board of Directors, including the transfer of the resigned officer's responsibilities to the next logical officer to serve in that position, as well as the initiation of the procedure to select a new Chapter Secretary.
  2. The term of office of any member of the Board of Directors who is not a member in good standing of the University of Maryland at College Park Alumni Association, Inc. shall automatically terminate, unless such is excused by the Board for sufficient cause.


ARTICLE VII: MEETINGS OF THE MEMBERSHIP

Section 1. Annual Meeting.  

  1. The Chapter shall hold an annual meeting of the members each year at a date, time, and place specified by the Board of Directors of the Chapter with all of the known Chapter members invited to attend. This will be the most important Chapter meeting of the year, with much of the Chapter business, such as important all-Chapter votes, being conducted at this meeting. 

Section 2. Regular Meetings.  

  1. Regular meetings of the Chapter will be held at least quarterly at a date, time, and place specified by the Board of Directors of the Chapter. 

Section 3. Voting.  

  1. If the manner of deciding any question has not been otherwise prescribed, it shall be decided by a majority vote of the Chapter members as defined per Robert’s Rules of Order.
  2. Each Board of Directors member shall have one vote.
  3. At least two-thirds of the Chapter Board of Directors present shall constitute a Chapter Board of Directors quorum.
  4. At least 10 CMNS Chapter members, including at least one Chapter officer, in attendance at any regular or special meeting sanctioned by the Board of Directors shall constitute a Chapter members quorum.
  5. A Chapter Board of Directors quorum is necessary for any board action.

  

ARTICLE VIII: PARLIAMENTARY AUTHORITY 

Section 1. The rules contained in the current Robert’s Rules of Order Newly Revised shall govern the Chapter in all cases to which they are applicable and in which they are consistent with the bylaws and any special rules of order the Chapter may adopt.

 

ARTICLE IX: EVENTS 

Section 1. The Chapter will create, encourage, and support events designed to enhance alumni relations and involvement within the College. The Chapter may allow individuals who are not members of the Association to participate in a Chapter event.

 

ARTICLE X: AMENDMENT OF BYLAWS

Section 1. These bylaws may be amended at any regular or special meeting of the Chapter by a majority vote, or automatically every eight years (8 years) provided the amendment is in accordance with the Association bylaws. 

All proposed amendments must be: 

  1. Received by the Chapter by December 31 of the current year.
  2. Announced by the Board of Directors at the previous meeting prior to the Annual Chapter vote.
  3. Forwarded to Chapter members one month prior to the annual meeting, allowing three weeks (3 weeks) for member comments. Member comments shall not be accepted past that point, and one week will be left to final revisions of the bylaws.
  4. Reflected in bylaws and sent to all members of the Chapter with a copy to the Association.

 

ARTICLE XI: DISSOLUTION OF CHAPTER

Section 1. The Chapter may be dissolved at any time upon the affirmative vote of two-thirds of the Board of Directors and by the majority vote of the members who are present at any regular or special meeting of the Chapter, provided the proposed dissolution has been submitted to the membership for their consideration at least thirty (30) days prior to the date of the meeting. 

Section 2. All assets and net income current and accumulated, remaining after the payment of all just debts, obligations and claims shall be transferred to its successor organization provided that said successor organization is exempt from federal income tax under Section 501 ( c ) (3) of the Internal Revenue code of 1954 as amended; otherwise, said assets shall be transferred to and become the property of the College of Computer, Mathematics and Natural Sciences for use in its educational and school requirements.

  

ARTICLE XII: ADOPTION OF BYLAWS AND AMENDMENTS

Section 1. These bylaws were approved by the Board of Directors at its regular meeting on May 8, 2013.

Section 2. These bylaws were approved by the University of Maryland at College Park Alumni Association, Inc. on month/day/year.

Section 3. This former “Computer, Mathematics and Natural Sciences Alumni Chapter, University of Maryland Alumni Association, Inc.” bylaws last amended on May 8, 2013 were dissolved on May 8, 2013. 

Section 4. These bylaws were amended on May 8, 2013.
